Terms and Conditions of Use

2. Acceptance and Minimum Age

By accepting these Terms, the User declares that they have read, understand, and accept what is stated herein; that they are over 18 years of age and have the legal capacity to accept these Terms and use the services. Furthermore, the User declares that the data provided during registration is true, accurate, and current, and that they have read and accepted the GIVE ZERO Privacy Policy.

3. Object and Services

GIVE ZERO offers a mobile application designed to help women in perimenopause and menopause manage their symptoms and improve their well-being. The Application allows for the tracking of physical and emotional symptoms, integration with wearable devices to collect physical activity, sleep, heart rate, and temperature data, the incorporation of blood test results, pattern analysis, and the acquisition of personalized information adapted to the User's profile. It also provides access to educational resources and the virtual assistant Nova, based on generative Artificial Intelligence, designed to simulate conversation and available 24 hours a day to answer questions about symptoms and well-being.

The Application offers basic features free of charge, including symptom logging and limited access to educational resources. Through a paid subscription, in accordance with the applicable Subscription Terms, Users can access advanced features such as detailed analytics, connection with multiple wearables, unlimited access to Nova, and premium content. Additionally, GIVE ZERO may offer physical products related to well-being and women's health, the sale of which will be governed by its own terms of sale.

4. Registration and User Account

To use the Application, the User must create an account by providing a valid email address and a secure password, or by registering using their Google or Apple account.

• Authentication Service: Auth0 for web and app users.
• Data Integration: Junction (API used to connect with wearables; data is received through Junction).

The User agrees to provide true and accurate information, maintain the confidentiality of their password, notify GIVE ZERO immediately of any unauthorized use of their account, and refrain from sharing their account or creating more than one personal account. GIVE ZERO reserves the right to suspend or cancel accounts that breach these Terms, provide false information, or remain inactive for more than 24 months.

5. Rules of Use

The User agrees to use the Application and Website in accordance with the law, morality, public order, and these Terms. Specifically, the User agrees NOT to:

• Introduce racist, xenophobic, or pornographic content, or content that advocates for terrorism or violates human rights.
• Introduce programs or data that could damage computer systems.
• Distribute illegal or unfair advertising, spam, or "junk mail."
• Impersonate other Users or violate intellectual property rights.
• Perform reverse engineering, decompilation, or disassembly of the Application.
• Use robots, scrapers, or automated tools to access the Application.

The User agrees to hold GIVE ZERO harmless from any possible claim, fine, or sanction resulting from the User's breach of these rules.

7. Wearable Devices and Blood Tests

The Application allows connection with third-party wearable devices and the manual entry of blood test results. The User acknowledges that:

1. Data accuracy depends on the wearable device or the accuracy of manual entry.
2. GIVE ZERO is not responsible for the technical functioning of third-party devices.
3. GIVE ZERO is not responsible for the medical interpretation of blood tests.

8. Intellectual and Industrial Property

All content (text, graphics, logos, software, etc.) is the property of GIVE ZERO or its licensors. GIVE ZERO grants the User a personal, non-exclusive, non-transferable, and revocable license to use the Application for personal, non-commercial use. This license does not allow the modification, copying, or distribution of the Application.

9. User Content

The User is responsible for the data they enter. While health and symptom data remain the property of the User, the User grants GIVE ZERO a license to use this data to provide and improve services, and to generate aggregated and anonymized analysis, market studies, and statistical reports that may be commercialized to third parties. These studies will only use data that does not allow the individual identification of any User.

10. Modifications

GIVE ZERO reserves the right to modify these Terms. Changes will be notified at least 15 days in advance. Substantial changes will require express acceptance. Minor or technical modifications will be deemed accepted through the continued use of the Application. GIVE ZERO may also add, modify, or remove features with 30 days' notice for total service discontinuation. There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Services at any time, without prior notice.

11. Availability and Warranties

The services are provided on an as-is and as-available basis. The user agrees that their use of the services will be at their sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the services and the use thereof, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranties or representations about the accuracy or completeness of the services' content or the content of any websites or mobile applications linked to the services and we will assume no liability or responsibility for any (1) errors, mistakes, or inaccuracies of content and materials, (2) personal injury or property damage, of any nature whatsoever, resulting from access to and use of the services, (3) any unauthorized access to or use of give zero's secure servers and/or any and all personal information and/or financial information stored therein, (4) any interruption or cessation of transmission to or from the services, (5) any bugs, viruses, trojan horses, or the like which may be transmitted to or through the services by any third party, and/or (6) any errors or omissions in any content and materials or for any loss or damage of any kind incurred as a result of the use of any content posted, transmitted, or otherwise made available via the services. We do not warrant, endorse, guarantee, or assume responsibility for any product or service advertised or offered by a third party through the services, any hyperlinked website, or any website or mobile application featured in any banner or other advertising, and we will not be a party to or in any way be responsible for monitoring any transaction between you and any third-party providers of products or services. As with the purchase of a product or service through any medium or in any environment, you should use your best judgment and exercise caution where appropriate.

12. Limitation of Liability

In no event will GIVE ZERO or any of its directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the services, even if we have been advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, GIVE ZERO's liability to a user for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by the user to us during the six (6) month period immediately prior to any cause of action arising. Certain US state laws and international laws do not allow limitations on implied warranties or the exclusion or limitation of certain damages, in which case some or all of the above disclaimers or limitations may not apply, and a user may have additional rights.

13. Third-Party Links

GIVE ZERO is not responsible for the content, privacy policies, or practices of linked third-party websites. The existence of a link does not imply a recommendation or partnership.

14. Indemnification

You agree to defend, indemnify, and hold Give Zero harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) any content you post to the Services (including any information or questions you submit to Nova); (2) your use of the Services; (3) your breach of these Terms; (4) your violation of the rights of a third party, including but not limited to intellectual property rights; or (5) your commitment or encouragement of any overt harmful act toward any other user of the Services. Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your own expense, with defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.

15. User Data

We will maintain certain data that Users transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to use of the Services. Although we perform regular routine backups of data, Users are solely responsible for all data that they transmit or that relates to any activity the User has undertaken using the Services. You agree that we shall have no liability for any loss or corruption of any such data, and hereby waives any right of action against us arising from any such loss or corruption of such data.

16. Electronic Communications, Transactions, and Signatures

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Services, satisfy any legal requirement that such communication be in writing. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SERVICES. You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.

17. California Users and Residents

If any complaint with us is not satisfactorily resolved, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834 or by telephone at (800) 952-5210 or (916) 445-1254.

18. Miscellaneous

These Terms and any policies or operating rules posted by us on the Services or in respect to the Services constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Terms will not operate as a waiver of such right or provision. These Terms operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Terms or your use of the Services. You agree that these Terms will not be construed against us by virtue of having drafted them. You hereby waive any and all defenses you may have based on the electronic form of these Terms and the lack of signing by the parties hereto to execute these Terms.

19. Applicable Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware (USA), without prejudice to any mandatory rights the User may have in their state or country of residence (such as consumer rights in California or the EU). Any dispute shall be submitted to the competent courts according to applicable legislation.

15. Severability

If any provision of these Terms is declared null or unenforceable, that provision shall be excluded, and the remaining provisions shall remain in full force and effect.
